Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Hauslytics application and related services (collectively, the "Service") provided by Friendswith Ltd, a New Zealand company ("Friendswith", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.

Eligibility; Age Restriction

You may use the Service only if you are at least 16 years old and capable of forming a binding contract with Friendswith. If you are under 18, you represent that you have consent from a parent or legal guardian and that your parent or guardian agrees to these Terms on your behalf. If you do not meet these requirements, you must not access or use the Service.

Your Account and Responsibilities

• You are responsible for safeguarding your account credentials and for all activities under your account.
• You must provide accurate information and keep it updated.
• You must comply with all applicable laws, including privacy, intellectual property, and anti-spam laws.

Acceptable Use

You agree not to misuse the Service. Prohibited conduct includes, without limitation: uploading or generating content that is illegal, harmful, violent, sexually explicit, exploitative, harassing, defamatory, or otherwise objectionable; infringing the rights of others; attempting to gain unauthorized access; interfering with security features; or reverse engineering the Service except as permitted by law.

Content; License Grants

You retain ownership of content you upload or create ("User Content"). By submitting User Content, you grant Friendswith a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, adapt, and display such content solely to operate and improve the Service. You represent and warrant that you have all rights necessary to submit the User Content and grant the foregoing license.

AI Features; Safety Checks

The Service may integrate AI and moderation services. You consent to safety checks on content you submit. If content is flagged by safety systems or third-party providers, Friendswith may refuse, remove, or restrict sharing of that content at its sole discretion.

Intellectual Property

The Service, including software, design, templates, and trademarks, is owned by Friendswith or its licensors and is protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, no rights are transferred to you. All rights are reserved.

Fees; Trials; Taxes

Any fees, trial periods, or billing terms will be presented at checkout or in your account. Taxes may apply based on your location. If you fail to pay fees when due, we may suspend or terminate your access.

Third-Party Services

The Service may rely on third-party services (e.g., storage, analytics, AI). Friendswith is not responsible for third-party services and disclaims liability for their availability, security, or accuracy.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. FRIENDSWITH DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT CONTENT WILL BE ACCURATE OR RELIABLE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL FRIENDSWITH LTD, ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT FRIENDSWITH HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO FRIENDSWITH IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Indemnification

You agree to defend, indemnify, and hold harmless Friendswith Ltd and its officers, directors, employees, contractors, and affiliates from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any law or third-party right.

Suspension and Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason or no reason, including if you violate these Terms or engage in conduct that we consider harmful.

Governing Law; Venue

These Terms are governed by the laws of New Zealand, without regard to conflict of law principles. You agree to the exclusive jurisdiction of the courts located in New Zealand to resolve any dispute arising from these Terms or the Service.

Changes to these Terms

We may modify these Terms at any time. Material changes will be posted in the Service. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
